Terms of Service

Effective 27 August 2026 · GBA Systems Ltd · Nairobi, Kenya

These Terms of Service ("Terms") are an agreement between you and GBA Systems Ltd ("GBA", "we", "us") governing your access to and use of Rasmi, including the Rasmi mobile application, website, integrations, and related services. By creating an account, installing the app, or using Rasmi, you agree to these Terms.

If you use Rasmi for a company or other organisation, you confirm that you have authority to bind that organisation. In that case, "you" includes the organisation.

1. The service

Rasmi helps businesses capture eTIMS receipt information, extract and validate fields, identify possible duplicates, route records for review, and sync approved records to connected accounting software. Rasmi is an administrative workflow tool. It is not a tax adviser, accountant, auditor, legal adviser, payment institution, or replacement for your accounting system. You remain responsible for your tax filings, records, accounting decisions, and compliance with KRA requirements.

2. Accounts and permissions

You must provide accurate information, keep your login credentials secure, and promptly tell us about unauthorised access. Workspace administrators are responsible for inviting users, assigning permissions, reviewing records, and ensuring that each user is authorised to access the workspace. You are responsible for activity carried out through your account and for maintaining appropriate access controls.

3. Receipt data and integrations

You retain ownership of the business and receipt information you submit. You grant us the limited licence needed to host, process, validate, display, back up, and transmit that information to provide Rasmi. You confirm that you have the rights and lawful permissions needed to submit the information and connect any third-party account.

You instruct Rasmi when you connect an accounting service or approve a record for posting. You must review records before approval and check the resulting entries in the connected system. Third-party services are governed by their own terms, availability, and data practices. We are not responsible for changes, outages, errors, or losses caused by a third-party service.

4. Acceptable use

You must not use Rasmi to break the law, infringe another person's rights, submit data without authorisation, interfere with the service, bypass security or usage limits, reverse engineer or copy the service except where law permits, upload malware, or use Rasmi to build a competing service. We may investigate suspected misuse and suspend access where reasonably necessary to protect the service or its users.

5. Plans, fees, and payments

Paid plans, receipt limits, and included features are shown on the pricing page or in your order. Fees are stated in Kenyan shillings unless we say otherwise and may be subject to applicable taxes. Payments may be processed by third-party providers such as Paystack, including supported M-Pesa or card methods. We do not receive or store complete card details handled by the payment provider.

Unless a plan or order says otherwise, subscriptions renew for the same period until cancelled. You may cancel through the available account controls or by contacting us. Cancellation normally takes effect at the end of the current paid period, and fees already paid are non-refundable except where required by law or stated in an order.

6. Intellectual property

GBA and its licensors own Rasmi, including its software, interfaces, design, names, trademarks, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription or authorised access in accordance with these Terms. You grant us feedback without restriction or payment, provided it does not include confidential information we are not authorised to use.

7. Availability, disclaimers, and liability

We work to keep Rasmi available and accurate, but the service may be interrupted for maintenance, updates, connectivity issues, third-party failures, or events outside our reasonable control. OCR, QR extraction, validation, categorisation, and synchronisation can produce errors. Rasmi does not guarantee that every record will be complete, accurate, accepted by KRA, or posted successfully. You must maintain appropriate backups and review important records.

To the extent permitted by law, Rasmi is provided on an "as is" and "as available" basis. Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or loss of profits, revenue, goodwill, or data. To the extent permitted by law, GBA's total liability arising from Rasmi will not exceed the fees you paid to GBA for the service during the six months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot legally be excluded.

8. Suspension and termination

You may stop using Rasmi at any time. We may suspend or terminate access for breach of these Terms, non-payment, security or fraud concerns, legal requirements, or if we stop offering the service. On termination, your right to use Rasmi ends. We may retain or delete information according to our Privacy Policy and legal obligations. Provisions concerning fees, ownership, confidentiality, disclaimers, liability, and disputes survive termination.

9. Changes and governing law

We may update these Terms as the service or law changes. We will post the updated Terms here and change the effective date. Continued use after an update means you accept the revised Terms. These Terms are governed by the laws of Kenya. The courts of Kenya will have jurisdiction, subject to any mandatory rights you may have under applicable law.
